Strong shareholders' support at Annual General Meeting of JOST Werke AG

Neu-Isenburg, May 7, 2018: Shareholders of JOST Werke AG ("JOST") approved all resolutions proposed by the Management Board and the Supervisory Board by a large majority at the Annual General Meeting, which took place last Friday, May 4, 2018.

The Annual General Meeting resolved to pay a dividend of EUR 0.50 per share, which will be paid free of tax for shareholders living in Germany.

Shareholders also approved the actions of the Management Board and the Supervisory Board for fiscal year 2017 by a large majority.

PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft, Frankfurt am Main, was elected as auditor of the annual and consolidated financial statements for the 2018 fiscal year.

In addition, the Board of Management was authorized to buy back shares totaling as much as 10% of the existing share capital. The Annual General Meeting also authorized the Management Board to increase the share capital by up to EUR 7,450,000.00 by issuing up to 7,450,000 shares. Finally, the Annual General Meeting authorized the issue of bonds with warrants, convertible bonds or income bonds as well as profit participation certificates or a combination of these instruments in the aggregate amount of up to EUR 350 million. All three authorizations will expire on May 3, 2023.
