Ademi & O'Reilly, LLP alleges Forescout's financial outlook is improving and yet shareholders will receive only $33.00 per share in an all-cash transaction valued at $1.9 billion. The merger agreement unreasonably limits competing bids for Forescout by prohibiting solicitation of further bids, and imposing a termination penalty if Forescout accepts a superior bid.
