Rocket Internet SE - Notice to the holders of the bonds - EUR 550 million 3.00% Convertible Bonds of Rocket Internet SE due 2022 (ISIN DE000A161KH4) (the "Bonds")

Berlin, Germany, 19 July 2018 - (Capitalised terms that are not defined in this notice shall have the meanings given to them in the terms and conditions of the Bonds (the "Terms and Conditions").)

As of today, the aggregate Principal Amount of the Bonds still outstanding and held by persons other than Rocket Internet SE and its Subsidiaries is less than 15% of the aggregate Principal Amount of the Bonds initially issued. Rocket Internet SE exercises its right to early redemption in accordance with § 6(2) of the Terms and Conditions and hereby irrevocably terminates in whole the remaining Bonds and will redeem the Bonds at their Principal Amount plus accrued interest. The Call Redemption Date is 4 September 2018 which Rocket Internet SE has determined in accordance with § 6(2) of the Terms and Conditions.
