DGAP-Ad-hoc: SinnerSchrader AG / Key word(s): Dividend Today, the Supervisory Board of SinnerSchrader Aktiengesellschaft decided that at the ordinary Annual General Meeting scheduled for 31 January 2018 it would suggest the payment of a dividend from the balance sheet profit as at 31 August 2017 in the amount of 0.04 euros per share, as proposed by the Management Board. Justified by the fact that the balance sheet profit for the financial year just completed has already been taken into account economically in the compensation and settlement payment as part of the Domination and Profit Transfer Agreement, Accenture Digital Holdings GmbH, majority shareholder of SinnerSchrader Aktiengesellschaft, informed the Management Board in advance that in addition to the compensation or settlement payment according to the Domination and Profit Transfer Agreement, it would support only a minimum dividend of 0.04 euros per share - based on the requirements of Article 254 of the German Stock Corporation Act. In their decision on the amount of the dividend, the Management Board and Supervisory Board took account of this circumstance, among others. The amount remaining from the balance sheet profit after payment of the dividend should be allocated to revenue reserves. The invitation to the ordinary Annual General Meeting will be published in the Federal Gazette next week.
