American Finance Trust Prices Public Offering of 1,200,000 Shares of 7.50% Series A Cumulative Redeemable Perpetual Preferred Stock

NEW YORK, March 22, 2019 /PRNewswire/ -- American Finance Trust, Inc. (Nasdaq: AFIN) ("AFIN" or the "Company") today announced the pricing of an underwritten public offering of 1,200,000 shares of its 7.50% Series A Cumulative Redeemable Perpetual Preferred Stock (the "Series A Preferred Stock") at a gross offering price of $25.00 per share.  In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional 180,000 shares of Series A Preferred Stock.  The Company has applied to list the shares of Series A Preferred Stock on the Nasdaq Global Select Market.  The Series A Preferred Stock will have a $25.00 liquidation preference per share.

The Company estimates that the net proceeds from this offering, after deducting the underwriting discount but not other estimated offering expenses payable by the Company, will be approximately $29.1 million and expects to close the transaction on or about March 26, 2019.  The Company intends to use the net proceeds from the offering for general corporate purposes, which may include purchases of additional properties.
