Disposition of Shares of Cortex Business Solutions Inc.

TORONTO, Feb. 15, 2019 (GLOBE NEWSWIRE) -- Scott Lamacraft of Royal Bank Plaza, South Tower 200 Bay Street, Suite 2800 Toronto, Ontario M5J 2J2 announced today that he has disposed of 1,087,569 common shares (“Shares”) of Cortex Business Solutions Inc. (“Cortex”) (TSXV: CBX) that he owns or exercises control over. The head office of Cortex is located at Suite 130, 115 Quarry Park Road SE, Calgary, Alberta, T2C 5G9.

The Shares of Cortex that Mr. Lamacraft owned or exercised control over were purchased for $4.55 per Share (for gross proceeds of $4,948,438.95) in connection with a plan of arrangement (the “Arrangement”) under section 193 of the Business Corporations Act (Alberta) involving Cortex and TransZap P2P Canada, Inc. (“TransZap”), which closed today. Pursuant to the Arrangement, TransZap acquired all of the issued and outstanding Shares of Cortex. Prior to the Arrangement, Mr. Lamacraft owned or had control over 1,087,569 Shares of Cortex, or 11.9% of the issued and outstanding Shares of Cortex. Following the Arrangement, Mr. Lamacraft does not have control or ownership over any Shares of Cortex.
