Fyber N.V. announces conversion to bearer shares and new ISIN
New ISIN: NL0014433377 (WKN A2P1Q5)

Berlin, 27 April 2020 - Fyber N.V. ("Fyber" or the "Company", FSE:FBEN) announces the forthcoming conversion to bearer shares and the related changes of the ISIN for Fyber shares. The extraordinary general meeting of shareholders held on 2 April 2020 has resolved the conversion of the registered shares into bearer shares and the necessary amendment of the Articles of Association. The resolution became effective upon issuance of the certificate of amendment of the Articles of Association on 2 April 2020.

The Company's share capital of €36,419,975.20 is now divided into 364,199,752 ordinary bearer shares with a nominal value of €0.10 each.

The conversion to bearer shares will be carried out for holdings as of 29 April 2020 after the close of trading. For this purpose, the holdings of registered shares of Fyber deposited with credit institutions will be converted from the former ISIN NL0012377394 (WKN A2DUJD) in a ratio of 1:1 into bearer shares of Fyber N.V. with the new ISIN NL0014433377 (WKN A2P1Q5). Pending stock exchange orders that have not been executed by 27 April 2020 will expire as a result of the conversion.

As of 28 April 2020, the shares of Fyber N.V. will be tradable on the Regulated Market (Prime Standard) of the Frankfurt Stock Exchange as bearer shares of Fyber N.V. From this date on, only the bearer shares of Fyber N.V. with the new ISIN NL0014433377 (WKN A2P1Q5) will be deliverable on the stock exchange.

The share capital divided into bearer shares is evidenced by a global certificate deposited with Clearstream Banking AG, Frankfurt am Main. The shareholders of the Company will participate as co-owners in the collective holding deposited with Clearstream Banking AG in proportion to their share.

With the conversion to bearer shares, the requirement for Fyber to keep a share register is no longer applicable. The legal position of the shareholders of Fyber N.V. is not affected by the conversion to the bearer share. Their participation in the Company and the rights associated with their shares remain unchanged. Nor will the shareholders' right to sell their shares be restricted or impeded.
